A design-consultancy venture sells expert services—such as product, UX/UI, visual-identity, branding, or service-design work—to client organisations, usually through defined project or retainer engagements. Relevant design practice areas documented by NID portfolios include user experience, user interface, branding, typography, visual identity and digital product work.
MSME registration
A qualifying consultancy can obtain Udyam registration as an MSME. The official process is online, paperless and free; the portal states that one enterprise may list service activities, and that PAN/GSTIN requirements apply as applicable under the CGST Act.
GST threshold context
As of the official CBIC guidance available at review, a supplier generally becomes liable for GST registration when aggregate annual turnover exceeds ₹20 lakh, with a ₹10 lakh threshold in special-category states; some categories can require registration below the threshold, so a consultancy should check its precise facts before invoicing GST.
Ownership of creative outputs
Copyright ownership and transfer should be expressly addressed in client agreements. The Copyright Act provides that the author is generally the first owner subject to statutory exceptions, and a copyright assignment is valid only when it is in writing and signed by the assignor or authorised agent.
Startup India fit is conditional
DPIIT Startup recognition is not automatic for every consultancy. An eligible entity must use an accepted legal form and meet age, turnover, originality, and innovation/improvement or scalable-model criteria; a conventional client-services practice may therefore need to assess whether its actual model satisfies the innovation-and-scalability test.

Entry routes: build a credible practice before or while going independent

The immediate parent routes—M.Des graduate, graphic designer, product designer and UI/UX designer—are practical starting points because they provide a portfolio and evidence of delivery in the same domains a consultancy may sell. NID’s published student and alumni portfolio material illustrates adjacent areas including UX, UI, branding, typography, visual identity and digital-product work.

A founder can enter through a specialist solo practice first: define a narrow offer, document case studies that explain the brief, process, decisions and measurable or observable outcome, and then expand into a multidisciplinary studio as recurring work and reliable collaborators develop. This is an operating recommendation rather than a regulated entry requirement.

An M.Des can strengthen research and systems-thinking capability, but it is not presented here as a legal prerequisite. The commercially decisive evidence is a demonstrable body of work, clear client communication and the ability to deliver a scoped engagement.

  • Start with one or two clearly named service lines, for example UX research and product design, brand identity systems, packaging/product design, or service-design workshops.
  • Create portfolio case studies that distinguish the founder’s own role, research inputs, deliverables, collaborators and client permissions.
  • Use small, bounded pilot engagements to establish references before accepting broad transformation or implementation commitments.

Capabilities to develop

A sustainable consultancy combines design craft with discovery, facilitation, documentation and commercial judgement. The design areas represented in NID materials—user experience, user interface, branding, typography, visual identity and digital product—map directly to the kinds of specialist capabilities that can be packaged for clients.

For product-facing work, learn to distinguish what can be protected as industrial-design rights from trademarks and copyright. IP India notes that design registration under the Designs Act concerns articles/goods, while trademarks protect signs used to distinguish goods or services; the protections are not interchangeable.

  • Research and synthesis: interviews, observation, journey mapping, problem framing and translating findings into defensible design requirements.
  • Design execution: interaction flows, prototypes, information architecture, visual systems, product form or service blueprints, selected to match the consultancy’s chosen offer.
  • Engagement management: proposals, scope boundaries, timelines, review cycles, stakeholder workshops, version control and handover documentation.
  • IP literacy: identify client-owned inputs, third-party assets and newly created outputs before work starts; obtain specialist legal advice where ownership or registrability matters.

Operating model: sell defined outcomes, not undefined availability

A design consultancy can operate as a solo practice, a small studio with employees, or a networked team of specialist collaborators. A practical project lifecycle is: qualify the client problem, issue a written proposal, agree scope and commercial terms, run discovery and design iterations, obtain milestone approvals, and complete an agreed handover. This structure helps separate advisory/design work from later engineering, production or marketing work that may need separate scope.

Every engagement should state deliverables, client responsibilities, timeline, payment milestones, approval points, confidentiality, permitted portfolio use, treatment of third-party materials, and the intended ownership or licence position for outputs. This is especially important because Indian copyright law has default ownership rules and requires written, signed assignments; licences may also be granted in writing by the copyright owner or authorised agent.

Quote fees only after defining the work. Project fees, time-and-materials pricing and monthly retainers are all possible commercial structures, but pricing, utilisation and payment terms are business-specific and should not be inferred from generic salary or fee benchmarks.

  • Use a discovery phase when the problem is uncertain; make subsequent build or rollout work conditional on an approved brief and revised scope.
  • Invoice against concrete milestones—for example discovery completion, approved direction, prototype/system delivery and final handover—rather than relying only on an end-of-project payment.
  • Maintain a reusable operating library: proposal template, statement of work, NDA, IP clause set, research-consent materials, design-file handover checklist and supplier/collaborator agreement.

Compliance and IP: choose the business form and document the rights

The appropriate legal structure depends on liability, co-founders, investment plans, tax position and client procurement requirements. Udyam registration is available for MSMEs and is free on the Government portal; the current portal classifies enterprises using both investment and turnover thresholds and permits service activities to be specified in one registration. It is an MSME registration, not a substitute for GST, income-tax, local or sector-specific obligations.

Monitor GST registration from the start. Official CBIC guidance states the general ₹20 lakh aggregate-turnover threshold and a ₹10 lakh threshold for special-category states, while also noting that specified cases can be liable below the threshold. Confirm the applicable state, place-of-supply, client type and any exception with a qualified tax professional before deciding whether to register or charge GST.

Treat IP clauses as core commercial controls. A consultancy should specify whether the client receives an assignment or licence, exactly which deliverables are included, which pre-existing tools/templates remain with the studio, and whether subcontractors have assigned the rights needed for the promised client grant. Design registrations, trademarks and copyright cover different subject matter: IP India says design registration applies to articles/goods, while trademark registration protects distinctive signs for specified goods or services.

DPIIT recognition can be considered only where the practice genuinely meets the programme definition. Startup India lists accepted entity forms and requires innovation or improvement of products, processes or services, or a scalable model with high employment/wealth-generation potential; recognition should not be assumed merely because the business is newly incorporated.

  • Register only through the official Udyam portal; it warns that the process is free and paperless.
  • Maintain books, invoices, contracts, expense records and tax records appropriate to the chosen entity and tax treatment.
  • Before publishing a client case study, obtain written permission and remove confidential research, unreleased product information and personal data.
  • For a studio brand, consider a trademark search and filing strategy. IP India states that a registered mark provides statutory protection and is registered by specified goods/services classes.

Growth paths: specialist practice, studio, productised IP or venture

A founder can grow from a specialist independent practice into a focused studio by standardising discovery, delivery and account-management processes, then adding collaborators for complementary disciplines. Another route is to productise repeatable assets—research frameworks, component libraries, training or design-system maintenance—while retaining bespoke consulting for strategic client work.

For qualifying small enterprises, Udyam may improve access to government-facing systems: the official portal says its registration is integrated with GeM and the Central Public Procurement Portal and can assist access to marketplace, e-tender and other benefits/services. Actual eligibility for a tender or scheme remains specific to the buyer and programme.

A consultancy that evolves into an innovation-led, scalable product or platform business can assess DPIIT recognition separately. Startup India’s criteria and benefits are conditional; recognition is not a general accreditation for all professional-service firms.

  • Deepen a vertical niche: for example health, financial services, manufacturing, public services, retail or climate-related products.
  • Move from execution-only assignments toward research, strategy, systems and governance retainers where the consultancy can demonstrate repeatable value.
  • Build a vetted collaborator network before hiring permanently; use written agreements that preserve client confidentiality and secure the IP rights promised to clients.
  • Use Udyam and procurement portals only after confirming current eligibility, tender requirements and applicable registrations.
